Terms of Service

These Terms of Service ("Terms") govern your use of the Inkwell AI Gmail Assistant Chrome extension and related services ("Service") operated by Inkwell ("we," "our," or "us"). By installing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By installing, accessing, or using Inkwell, you confirm that you are at least 13 years old and agree to comply with these Terms. If you are using Inkwell on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not install or use the Service.

2. Description of Service

Inkwell is a Chrome browser extension that provides AI-powered email assistance within Gmail, including:

• Generating email drafts based on user-provided descriptions
• Summarizing email threads displayed on screen
• Generating reply suggestions for emails
• Multiple tone and style options for email composition

The Service uses third-party AI models (currently OpenAI) to generate content. AI-generated content may not always be accurate, appropriate, or complete. You are responsible for reviewing and editing all generated content before sending.

3. Account and Authentication

• You must sign in with a valid Google account to use the Service
• You are responsible for maintaining the security of your Google account
• You must provide accurate information during registration
• You may not create accounts for the purpose of violating these Terms
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Subscription and Billing

Free Tier

The free tier provides limited daily usage (currently 5 emails per day). Free tier features and limits may change at any time.

Pro Subscription

• The Pro plan is billed monthly at the price displayed at time of purchase (currently CA$4.99/month)
• Payment is processed securely through Stripe
• Subscriptions renew automatically each billing cycle
• You may cancel at any time from within the extension sidebar

Cancellation and Refunds

• You may cancel your subscription at any time — access continues through the end of the current billing period
• We do not provide prorated refunds for partial billing periods
• Refund requests for technical issues will be reviewed on a case-by-case basis within 30 days of the charge

Price Changes

We reserve the right to change pricing with at least 30 days' notice. Price changes will apply at the start of your next billing cycle after the notice period. Continued use after a price change constitutes acceptance.

5. Acceptable Use

You agree not to use Inkwell to:

• Send spam, unsolicited bulk email, or phishing messages
• Generate content that is harassing, threatening, defamatory, or discriminatory
• Impersonate another person or entity
• Violate any applicable laws, regulations, or third-party rights
• Attempt to reverse-engineer, decompile, or extract source code from the extension
• Circumvent usage limits, authentication, or security measures
• Use automated tools or bots to interact with the Service
• Resell, sublicense, or redistribute the Service without written permission

We reserve the right to suspend or terminate access for violations of these terms without prior notice.

6. Intellectual Property

Our Property

The Inkwell extension, its code, design, branding, and documentation are owned by us and protected by copyright and intellectual property laws. You may not copy, modify, or distribute any part of the Service except as expressly permitted.

Your Content

You retain ownership of all email content you create, edit, or send using the Service. By using Inkwell, you grant us a limited, temporary license to process your content solely for the purpose of providing the Service (AI generation). This license terminates when processing is complete.

AI-Generated Content

Content generated by the AI through the Service is provided for your use. You are responsible for the content you send, including AI-generated text. We do not claim ownership of AI-generated content you produce through the Service.

7. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described in our Privacy Policy.

8. Service Availability

• The Service is provided "as available" — we do not guarantee uninterrupted or error-free operation
• We may modify, suspend, or discontinue features at any time with reasonable notice
• The Service depends on third-party providers (Google, OpenAI) whose availability is outside our control
• Scheduled maintenance will be communicated in advance when possible

9. Disclaimers

We do not warrant that:

• AI-generated content will be accurate, complete, or appropriate for your intended use
• The Service will be uninterrupted, timely, secure, or error-free
• The Service will meet your specific requirements
• Any errors in the Service will be corrected

You are solely responsible for reviewing all AI-generated content before sending. We are not liable for any consequences of sending AI-generated emails.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Inkwell and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Inkwell, its operators, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

• You may stop using the Service at any time by uninstalling the extension and cancelling your subscription
• We may suspend or terminate your access for violation of these Terms or for any reason with reasonable notice
• Upon termination, your right to use the Service ceases immediately
• Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will remain in effect

13. Dispute Resolution

These Terms are governed by the laws of the Province of British Columbia, Canada. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the courts of British Columbia, Canada.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. We will make reasonable efforts to notify active users of significant changes via email or in-extension notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.

15. General

• Entire agreement — these Terms, together with the Privacy Policy, constitute the entire agreement between you and Inkwell regarding the Service
• Severability — if any provision is found unenforceable, the remaining provisions remain in effect
• Waiver — failure to enforce any provision does not constitute a waiver of that provision
• Assignment — you may not assign your rights under these Terms without our written consent
